1. Acceptance & Eligibility

• You affirm you're a licensed dental or orthodontic professional (or a qualified staff member).
• You confirm you are at least 18 years old.
• If using on behalf of a clinic or group, you represent that you're authorized to do so.

2. Scope of License

We grant a revocable, non-exclusive, non-transferable license to access OrthoMind solely for professional, internal use. You may not redistribute, resell, copy, modify, or create derivative works of the platform.

3. User Conduct

You agree to:

• Use OrthoMind solely for legitimate professional purposes.
• Not use the platform to upload patient-identifiable information (PII), except anonymized clinical scan images and queries.
• Comply with applicable laws and regulations, including HIPAA where applicable.

4. Content & Intellectual Property

OrthoMind retains all rights, titles, and interests in the platform and its content.

You retain ownership of your clinical inputs, but grant us a temporary license to process them during your session.

5. Medical & AI Use Disclaimer

Important Medical Disclaimer:

• OrthoMind is provided as-is and as-available, without warranty of any kind.
• It does not substitute clinical judgment. We do not guarantee the accuracy or outcomes of any suggestions provided.
• We are not liable for any consequences of your use of the platform.

6. Limitation of Liability

• Our liability is limited to direct damages up to your total subscription fees for the past 12 months.
• We are not liable for indirect, incidental, consequential, special, or punitive damages.

7. Subscription, Billing & Refunds

Subscription, billing, and refund terms are governed by our separate Refund Policy.

• You authorize us to charge your payment method each billing cycle.
• Unpaid subscriptions may result in service suspension.

8. Term & Termination

• Terms begin upon your first access to OrthoMind after accepting these Terms.
• We may suspend or terminate your access for breach, misuse, or non-payment.
• You may terminate by cancelling your subscription; access then continues until the end of the current billing period.

9. Governing Law, Dispute Resolution & Indemnity

These terms are governed by the laws of the United States.

Indemnification: You agree to indemnify us for any losses resulting from your misuse of the service or violation of these Terms.

10. Changes to Terms

• We may modify these Terms at any time by posting revisions.
• Changes take effect 30 days after posting.
• Continued use after the effective date of changes signifies acceptance.

11. Third-Party Services

We may embed or link to third-party APIs or services.

We are not responsible for the content, privacy, or practices of those third parties.

12. Exports & Compliance

You will not export or re-export the service in violation of applicable export control laws.

13. General Provisions

• These Terms constitute the entire agreement. Any prior agreements are replaced.
• If any clause is unenforceable, it will be severed, and the rest will remain in force.
• No waiver of rights by us is effective unless in writing.
